These Terms of Service ("Terms") govern your use of ingenai.co (the "Site") and your purchase of services from InGen AI Company, LLC ("InGen," "we," "us," or "our"), including how you pay us by card or ACH. By using the Site, signing a proposal or agreement with us, or paying an InGen invoice, you agree to these Terms. If you are agreeing on behalf of a business, you confirm that you have authority to bind that business.
1. Our services
InGen designs, builds, licenses, and supports custom AI operating systems and related services, including software builds, platform licenses, marketing services, and ongoing support (the "Services"). The scope, deliverables, schedule, and price of any engagement are set out in a written proposal, statement of work, or agreement signed by both parties (a "Client Agreement").
Order of precedence. If a Client Agreement conflicts with these Terms, the Client Agreement controls. These Terms fill in anything the Client Agreement does not address.
2. Fees, invoices, and payment
- Pricing. Fees are stated in your Client Agreement, proposal, or invoice. Fees may include one-time or milestone build fees, recurring subscription or license fees, and any performance-based fees described in your Client Agreement.
- Due dates. Unless your Client Agreement says otherwise, invoices are due upon receipt. Recurring fees are billed in advance for each billing period.
- Payment methods. We accept credit cards, debit cards, ACH bank transfers, and checks. Card and ACH payments are processed securely through Clover, a payment platform provided by Fiserv. We may set a minimum or maximum amount for card payments.
- Credit card surcharge. Credit card payments may include a surcharge of up to 2.85% of the payment amount, not to exceed our cost of accepting the card. Any surcharge is disclosed before you pay and shown as a separate line on your receipt. No surcharge applies to debit cards, prepaid cards, ACH bank transfers, or checks.
- Taxes. Fees do not include sales, use, or similar taxes. You are responsible for any taxes that apply, other than taxes on InGen's income.
- Late payments. If a payment is not received when due, we may pause work or suspend access to the Services after giving you notice, until the account is brought current.
3. Card payments
When you pay by credit or debit card, you authorize InGen to charge the card you provide for the amount shown on your invoice or, for recurring fees, for each billing period as stated in your Client Agreement, until you cancel as described in Section 6. You confirm that you are authorized to use the card. If a card payment is declined, we may retry the charge or ask you for another payment method.
4. ACH bank debits (authorization)
If you choose to pay by ACH, you authorize InGen, through its payment processor and bank, to electronically debit the bank account you provide for the amounts you approve, and, if necessary, to credit that account to correct an erroneous debit. Specifically:
- One-time payments. You authorize a single debit for the invoice amount on or after the date you submit the payment.
- Recurring payments. If you enroll in recurring ACH payments, you authorize InGen to debit your account for the recurring amount and on the schedule stated in your Client Agreement or enrollment form. If an amount or date changes, we will notify you in advance as required by law.
- Your account. You confirm that you are an authorized signer on the bank account and that the account is a business account used primarily for business purposes, unless you tell us otherwise in writing.
- Returned payments. If a debit is returned (for example, for insufficient funds or a closed account), we may re-present the debit as permitted by the Nacha Operating Rules, and you agree to pay any returned-payment fee stated in your Client Agreement or invoice, up to the amount allowed by law.
- Revoking authorization. You may revoke a recurring ACH authorization by notifying us in writing at kyle@theingencorporation.com at least three (3) business days before the next scheduled debit. Revoking authorization does not cancel amounts you already owe.
- ACH transactions are subject to the Nacha Operating Rules and applicable U.S. law.
5. Refunds and billing disputes
- Custom builds. Because custom builds involve work performed on your behalf, build and milestone fees are non-refundable once the related work has started, except as stated in your Client Agreement.
- Subscriptions and licenses. Recurring fees are non-refundable for the current billing period. If you cancel, you keep access through the end of the period you paid for.
- Billing errors. If you believe you were charged in error, contact us within sixty (60) days of the charge and we will investigate and promptly correct any error. Please contact us before filing a chargeback or ACH dispute with your bank so we can resolve it quickly.
6. Term, cancellation, and termination
Each engagement lasts for the term stated in your Client Agreement. Recurring Services continue until canceled as provided in your Client Agreement or, if it is silent, by either party with thirty (30) days' written notice. We may suspend or terminate Services if you materially breach these Terms or your Client Agreement, including non-payment, and do not cure the breach within a reasonable time after notice. Fees owed for work performed or periods already started remain due after termination.
7. Intellectual property
Ownership and licensing of deliverables are governed by your Client Agreement. Unless it states otherwise: (a) you own the content and data you provide; (b) InGen retains ownership of its platform, software, modules, memory systems, workflows, AI configurations, and know-how, including improvements; and (c) you receive the license to use deliverables described in your Client Agreement, conditioned on payment of applicable fees. The Site and its content are owned by InGen and may not be copied or reused without our permission.
8. Confidentiality
Each party will protect the other party's non-public business information received during an engagement and use it only to perform or receive the Services, except where disclosure is required by law.
9. Acceptable use of the Site
You agree not to misuse the Site, including attempting to gain unauthorized access, interfering with its operation, scraping it in bulk, or using it for any unlawful purpose.
10. AI output
Our systems use artificial intelligence. AI-generated output can be incomplete or wrong, so you are responsible for reviewing outputs before relying on them for business, financial, legal, or safety decisions. InGen does not guarantee specific business results, revenue, or lead volume unless expressly stated in your Client Agreement.
11. Disclaimers
Except as expressly stated in a Client Agreement, the Site and Services are provided "as is" and "as available," and InGen disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law, InGen will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. InGen's total liability for any claim arising out of the Site or Services is limited to the fees you paid to InGen for the Services giving rise to the claim during the twelve (12) months before the claim, unless your Client Agreement states a different limit.
13. Indemnification
You agree to indemnify and hold InGen harmless from third-party claims arising from your content, your data, your use of the Services in violation of these Terms or applicable law, or your breach of these Terms.
14. Governing law and venue
These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of law rules. Any dispute will be brought in the state or federal courts located in Williamson County or Davidson County, Tennessee, and each party consents to that jurisdiction, unless your Client Agreement provides otherwise.
15. General
If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may update these Terms by posting a new version on this page; changes apply going forward and do not change the price or terms of an engagement already under a signed Client Agreement.
